What documents are required to open a company?
In the case of a limited liability company, in general, only the identity cards of the partners and directors of the company are required. However, it is important to have a clear situation regarding the registered office to be established, i.e.: either a property deed, a lease or a commodatum contract for the premises, or any other document attesting the right of use of the property; if necessary, this document can be drawn up by our lawyers on the basis of the identity cards of the parties. In exceptional circumstances, agreements from the homeowners’ association and neighbours may still be required in the event of the activity being physically carried out at the premises.
In the case of a PFA, proof of professional training or, failing that, proof of professional experience is also required.

Is an electronic signature required for setting up an online company?
No. Obtaining a qualified electronic signature certificate is useful after the establishment of a company for various reports to ANAF and other operations, but it is not mandatory when establishing the company and is not necessary when signing documents prepared by our lawyers.
How long does business registration in Romania take?
The duration of the establishment process is 3-4 working days from the date of submission of the file, in the absence of comments from the Trade Register.
What obligations do I have after setting up the company?
From the date of incorporation of a company, its representatives are responsible for a number of obligations which are not limited to those of a fiscal nature and relate to knowledge of the legal framework applicable to companies and their area of activity. The basic obligations are: opening a bank account and contracting a book-keeping service, as well as the use of means of invoicing the services provided. Even in the absence of an actual activity, accounting reporting is mandatory as long as the suspension of the company’s activity is not requested to the Trade Register.
